NuStream Entertainment LLC Terms & Conditions:
The streaming platforms NuStream Live and NuStream Entertainment are owned and operated by NuStreamEntertainment LLC.
The following terms and conditions are between the Content Creator and / or Influencer, Affiliates, Authorized Representatives, and NuStream Entertainment LLC for content submitted to NuStream Entertainment LLC or other authorized platforms.
Definitions:
"Content" is all types of content that includes and not limited to: Live shows, recorded shows, films, clips,
documentaries, music, streaming content, podcasts, books, skits, animation, and digital art. The content can be produced or co-produced in house or submitted by 3rd parties.
"Content Creator and / or Influencer" is an individual, group, or organization that owns the rights to the content that is submitted to NuStream Entertainment LLC to be posted and distributed on the NuStream Network.
The Content Creator and / or Influencer will be known as the "Talent" in this document.
"Affiliate" is an individual or organization that introduces the Talent to an authorized
NuStream Entertainment LLC Representative, supports the Talent, and actively manages the process and the relationship between the Talent and NuStream Entertainment LLC. The Affiliates do not upload content or distribute gross profit sharing proceeds to the Talent. The proceeds are distributed directly to the Talent from NuStream Entertainment LLC.
"Authorized Representative" is an individual or an organization that is authorized by the Talent to
submit content to NuStream Entertainment LLC and/or receive gross profit distributions from NuStream
Entertainment LLC on behalf of the Talent. Examples of an Authorized Representative may Include and are not limited to an individual, organization, record label, or a management company.
"NuStream Entertainment LLC platforms" are online platforms and/or apps that are owned and operated by NuStream Entertainment LLC, which includes and are not limited to pay per view and subscription based platforms, apps, and social media platforms. In addition, they may include third party platforms approved by NuStream Entertainment LLC.
"NuStream Network" is the distribution of content on the NuStream platforms and other 3rd party platforms, Like Apple, Android, Amazon, ROKU, etc. The content on the NuStream Network is available on over 6 BILLION devices worldwide.
“PPV” is pay per view content.
"VOD" is video on demand content.
"Gross Profit also know as GP" is the amount of money received by NuStream Entertainment LLC after the amount the platform takes from the sale, and what the Affiliate is paid, is deducted from the sale. An example is provided in this document.
Content:
The Talent will maintain ownership of the content that they produce.
The Talent, Affiliates and Authorized Representatives agree to hold NuStream Entertainment LLC and
associated 3rd parties harmless from any liability that may arise from copyright infringements of the content submitted and distributed on the NuStream Entertainment LLC platforms and NuStream Network of 3rd party channels. The content must be original content created or owned by the Talent.
PPV and / or subscription based products can be offered exclusively on NuStream Network or can be offered on the NuStream Network and other platforms you choose at the same time. The content cannot be offered on other platforms at a price lower than what is offered on the NuStream Entertainment LLC platforms.
Free content can be offered on other platforms as well as the NuStream Network.
If the Talent chooses to work with an Authorized Representative or Affiliate, they must designate who the Authorized Representative or Affiliate is for each piece of content they submit. NuStream Entertainment LLC reserves the right to reject any Affiliates or Authorized Representative that are submitted.
The Talent agrees to clear all third-party rights prior to submitting the content to NuStream Entertainment LLC. This is the sole responsibility of the Talent and / or Authorized Representative. The Talent and / or Authorized Representative agree to hold NuStream Entertainment LLC harmless for any disputes, damages, injuries, or losses that may occur.
Content that is produced or co-produced by NuStream Entertainment LLC will be owned by NuStream
Entertainment LLC, unless there is a separate agreement between the parties.
All content submitted to NuStream Entertainment LLC by the Talent or Authorized Representative will be
reviewed by NuStream Entertainment LLC prior to the NuStream Entertainment LLC team posting it to the platform. The content must meet video and audio quality standards as well as performance standards, and cannot contain excessive violence, nudity, vulgar language, or hate speech.
The Talent, Affiliates, and Authorized Representatives guarantee that they will follow all applicable federal and local laws, including and not limited to civil rights, and discrimination based on sex, race, religion, age, physical limitations, or national origin for content they create and submit to the NuStream Network.
The Talent, Affiliates, and Authorized Representatives are responsible for all expenses associated with the creation of their content.
While creating the content, the Talent, Affiliates, and Authorized Representatives are responsible for their own safety and security and agree to hold NuStream Entertainment LLC or any other associated third parties harmless for any disputes, injuries, damages, or losses.
If the content is removed, and the Talent, Affiliates, or Authorized Representatives are no longer allowed to do business with NuStream Entertainment LLC, they will still receive their portion of the gross profit sharing for previous content that was distributed on the NuStream Network for a 6 month period, per these terms and conditions.
NuStream Entertainment LLC reserves the right to reject any content that is submitted to NuStream
Entertainment LLC.
NuStream Entertainment LLC reserves the right to remove any content on the NuStream Network for any reason.
Promotion & Distribution:
The Talent and Affiliate. or the Authorized Representative agree to give NuStream Entertainment
LLC rights to promote and distribute the content on the NuStream Network including social media.
The distribution deal with NuStream Entertainment LLC will be determined for each piece of content. NuStream Entertainment LLC, the Talent or Authorized Representative can choose not to distribute the next piece of content on the NuStream Network.
The Talent, Affiliate, and Authorized Representative grant NuStream Entertainment LLC the full commercial rights to use the content, a portion of the content, as well as any supporting media, and likeness of the Talent, Affiliate, and Authorized Representative, for any content submitted to the NuStream Network for promotional purposes.
Although the Talent will have the primary responsibility of promoting their content, NuStream Entertainment LLC will also co-promote the content using various strategies. The strategies will vary depending on the budget that is available from the Talent and NuStream Entertainment LLC.
Pay Per View and / or Subscription / Gross Profit Sharing Distribution:
The Talent or Authorized Representative agree that the pay per view content will be offered for a minimum price of $5.00 for unlimited streams by the customer unless otherwise agreed to in writing by the Talent or Authorized Representative and NuStream Entertainment LLC. A monthly subscription may also be offered for a minimum of $5 per month. Instructional or high demand content might be offered on the NuStream Entertainment LLC platforms at a higher price.
Gross Profit Sharing: We split the gross profit with the Talent 50 / 50. The GP is 70% of the revenue (the platform keeps 20% / Affiliate gets 10%). With Affiliate Example: 100K in revenue X 70% GP = $70K X 50% = $35K. That is the share the Talent would receive. Without Affiliate Example: 100K in revenue X 80% GP = $80K X 50% = $40K. That is the share the Talent would receive.
Gross Profit Sharing Adjustments: Talent GP Sharing might be adjusted upward depending on revenue volume. NuStream & Affiliate GP Sharing might be reduced depending on revenue volume. This will be determined on a case by case basis.
NuStream Entertainment’s share will be used to cover the costs related to the business and earn a profit. Some of the costs include, and are not limited to, supporting the Talent program, supporting the Affiliate program, running the day-to-day business, covering transaction fees, credit card fees, applicable sales tax, monthly server fees, optimizing and maintaining the platforms, and supporting the Talent.
It is up to the Talent to choose an individual or organization as their Affiliate on each piece of content that is distributed on the NuStream Network. If an Affiliate is not designated, no payment will be made to a potential Affiliate. All Affiliates need to be approved by NuStream Entertainment LLC. Choosing an Affiliate is not mandatory.
It is up to the Talent to designate an individual or company as their Authorized Representative in writing. The Talent can terminate the relationship with the Authorized Representative at their discretion, by notifying NuStream Entertainment LLC is writing.
The Talent and Authorized Representative agree that the agreement between NuStream Entertainment LLC and the Talent takes precedence over any agreement that the Talent and Authorized Representative may have between them for business conducted with NuStream Entertainment LLC.
It is up to the Talent to choose an individual or organization as their Authorized Representative. All potential Authorized Representatives need to be approved by NuStream Entertainment LLC.
Choosing an Authorized Representative is not mandatory.
The Talent agrees that they need to earn a minimum of $200 in pay per view or subscription revenue for a particular piece of content in that particular month to receive gross profit sharing for that particular piece of content. The intent is to keep the administrative costs down. If the Talent does not earn a minimum of $200 in pay per view or subscription revenue per month for 3 months, NuStream Entertainment LLC reserves the right to remove the content The Affiliates will not receive their portion of the gross profit sharing if the Talent does not receive a share of the pay per view or subscription gross profit sharing distribution.
If the content is removed, or the Talent, Affiliate, or Authorized Representative, is no longer allowed to do business with NuStream Entertainment LLC, they will still receive their portion of the GP sharing for previous content that was distributed on the NuStream Network for a period of 6 months, as long as it meets the minimum requirements noted in this document.
The pay per view and / or subscription GP sharing is typically distributed by the OTTP platform to
NuStream Entertainment LLC 30 days after the close of the month. Once received, NuStream will distribute the funds by the 20th of the month to the Talent or Authorized Representative for their content that is distributed on the NuStream Network. For example: When the month of June closes, NuStream will receive the funds by August 1st, and will distribute the funds by August 20th.
The Authorized Representative will not receive any compensation from NuStream Entertainment LLC. That will need to be worked out between the Talent and the Authorized Representative.
Content Creators:
The Talent must be 18 years or older. If the Talent is under 18, a parent or guardian may submit the content on behalf of the minor. For more information contact us at Info@NuStreamEntertainment.com.
Within these terms & conditions, the Talent is under no obligation to continue to have a
particular Affiliate support them. The Affiliate will be determined and designated on a per piece of content basis. It is up to the Affiliate to provide value by supporting the Talent and managing the
process. Any disputes will need to be resolved by the Affiliate and the Talent. Outside
agreements between the Talent and the Affiliate are strictly prohibited for business
conducted with NuStream Entertainment LLC.
The Talent cannot also be an Affiliate.
The approval of an individual or organization to become a Talent is at the sole discretion
of NuStream Entertainment LLC.
The Talent must be in good standing with NuStream Entertainment LLC, and other
Talents, Affiliates, Authorized Representatives, Sponsors, and Customers to remain in the
program and receive GP sharing for future content.
The Talent also agrees to promote each piece of content for the other Talent’s content and promote NuStream Entertainment LLC to remain in the program and receive GP sharing for future content.
Affiliates:
The Affiliates must be 18 years or older. If the Talent is under 18, a parent or guardian may submit the
content on behalf of the minor. For more information contact us at Info@NuStreamEntertainment.com.
The Affiliates must introduce the Talent to a NuStream Representative, and actively manage them to
be eligible for the GP sharing for that particular Talent. They also will be required to interact with
NuStream Entertainment LLC on a regular basis. Picking someone just to get an additional 10% is not allowed.
The Affiliates must successfully promote content on the NuStream Entertainment LLC platforms within
Affiliate’s network of businesses & individuals to remain in the program.
The Affiliate must be in good standing with NuStream Entertainment LLC, and other Talent, Affiliates,
Authorized Representatives, Sponsors, and Customers to remain in the program and receive GP sharing for future content.
The Affiliates cannot upload content or receive GP sharing on behalf of the Talent or Authorized
Representative.
The approval of an individual or a company to become an Affiliate is at the sole discretion of NuStream Entertainment LLC.
Authorized Representative:
The Authorized Representative must be 18 years or older. If the Authorized Representative is under 18, parent or guardian may submit the content on behalf of the minor. For more information contact us at Info@NuStreamEntertainment.com.
To become an Authorized Representative, an Authorized Representative Agreement supplied by NuStream Entertainment LLC must be fully executed and submitted to NuStream Entertainment LLC. Contact NuStream Entertainment LLC at info@NustreamEntertainment.com for more information.
If there is a group of people involved in creating the content (for example: A band), the group must choose an Authorized Representative (company or individual) who will upload the content and receive their pay per view or subscription based GP sharing distribution. The Authorized Representative could also be a record label or management company that represents the Talent / Influencer and has a fully executed agreement in place with the Talent. The Authorized Representative will be responsible for uploading the content and distributing the GP sharing distributions to the rest of the group.
The Authorized Representative will not receive any additional compensation from NuStream Entertainment LLC.
The Authorized Representative and the Talent will determine how they will split the GP sharing
that the Authorized Representative receives from NuStream Entertainment LLC. This will not be managed by NuStream Entertainment LLC and will need to be agreed upon outside of these terms & conditions. The Authorized Representative cannot also be an Affiliate.
The Authorized Representative is required to distribute the Gross Profit distribution reporting to the Talent.
The approval of an individual or a company to become an Authorized Representative is at the sole discretion of NuStream Entertainment LLC.
General:
It is up to the Talent, Affiliate, or Authorized Representative to maintain a healthy working relationship
with each other. They will be responsible for handling any disputes. If there are legal issues that result because of the failure of the Talent, Affiliate, or Authorized Representative to adhere to these terms and conditions, that results in legal action against NuStream Entertainment LLC, the Talent, Affiliate, or
Authorized Representative will be responsible for all of the costs related to the legal action.
The Talent, Affiliate, and Authorized Representative agree to hold NuStream Entertainment LLC
harmless for any disputes, injuries, damages or losses that have / may occur between the Talent,
Affiliate, and Authorized Representative.
The Talents, Affiliates, and Authorized Representatives, agree to hold NuStream Entertainment LLC
harmless for any disputes, damages, or losses that have / may occur because the information submitted by the Content Creator or Authorized Representative was inaccurate, misleading, or fraudulent.
Sales tax collection will be the responsibility of NuStream Entertainment LLC for the content posted on the NuStream Network.
The Talent, Affiliate, and Authorized Representative must remain in good standing with each other
and the Customers, Sponsors, and NuStream Entertainment LLC, to submit content and receive pay per view and subscription based GP sharing for future content on the NuStream Network. The good standing will be determined at the sole discretion of NuStream Entertainment LLC.
NuStream Entertainment LLC reserves the right to ban any Talent, Affiliate, Authorized Representative, or
Sponsor from doing business with NuStream Entertainment LLC for any reason. There can only be one
individual or organization who is designated as the Authorized Representative or Affiliate representing the Talent. A pyramid structure where GP sharing trickles down to other Affiliates or Authorized Representatives is strictly prohibited.
The Talent, Authorized Representative, and / or Affiliate will be responsible for their own applicable taxes. Anyone receiving a GP distribution will receive a 1099 form.
It is the responsibility of the Talent or Authorized Representative to provide the correct account
information for their financial institution that will receive the distribution of the pay per view GP sharing
and agree to hold NuStream Entertainment LLC harmless for any disputes, damages, or losses that may occur.
The Talent, Affiliates and Authorized Representative, agree to hold NuStream Entertainment LLC harmless for any malfunction, damages, or losses that may occur during the distribution of the funds to their financial institution, that are the result of technical issues, third party intervention, hacking, theft, or any other reason. The Talent, Affiliates and / or Authorized Representatives will need to resolve this with their financial institution, or any other 3rd parties that were involved.
The Talent, Affiliate, Authorized Representative, or Sponsor agree to hold NuStream Entertainment LLC
harmless for any malfunction, damages, or losses that may occur on the NuStream Network that are the result of technical issues, third party intervention, hacking, theft, or any other reason.
NuStream Entertainment LLC reserves the right to cancel or postpone any event conducted by NuStream Entertainment LLC. The Talent, Affiliate and / or Authorized Representative, agree to hold NuStream Entertainment LLC harmless if this occurs.
If there is a judgment against NuStream Entertainment LLC, the impacted the Talent, Authorized
Representative and / or Affiliate, that were impacted, agree to a maximum payout of $10 for any errors or omissions that may occur in these terms & conditions.
NuStream Entertainment reserves the right to change these terms and conditions at any time, for any reason. The terms and conditions will be updated on a routine basis. It is up to the Talent, Affiliate and / or Authorized Representative, or Sponsor to review the terms and conditions prior to submitting each piece of content.
If there is a dispute between NuStream Entertainment LLC and the Talent, Affiliate, or Account Representative, the parties agree to use mitigation to resolve the dispute. The mitigation will be binding. All disputes will be resolved in the State of Florida, using their governing laws of the state.
The Talent, Affiliate, and Authorized Representatives must agree to these terms and conditions to distribute content and participate in the GP sharing programs with NuStream Entertainment LLC.
